Search and identify target companies in accordance with criteria set by individuals and companies seeking growth by acquisition. Approach targets to establish the possibility of a transaction and advise on price and structure of the deal. |
Disposals |
Identify and research potential purchasers. Prepare the business for sale and develop a plan for marketing the business. Advise on a suitable value for the business and negotiate the terms and conditions of the sale. |
Management Buy-Outs |
Advise the management team on the MBO process and approach the vendors, assessing the viability of the proposition. Ascertain an appropriate deal structure and assist in preparing a business plan for the management team to assist raising finance. |
Due Diligence |
Provide commercial and financial due diligence services in relation to target acquisitions, with a report tailored to the acquirer’s needs.
Prepare pre-disposal due diligence for potential acquirers and vendors.
Prepare due diligence reports to meet bank funding requirements.
Prepare working capital and indebtedness reports as required by the Listing Rules, for public issues. |
Raising Finance |
Advise on suitability of various sources of equity, debt and asset finance, and upon the level of funding required.
Assist in the preparation of business plans, budgets and cash flow forecasts for presentation to potential finance providers.
Effect introduction to potential providers of finance and assist in subsequent presentations and negotiations. |
